5. intentionally or unintentionally violate any applicable local, state, national or international law;
6. violate the terms of any third party website or service, or the terms of any other agreement with any third party;

1. Suggestions and Feedback.

Please note that we do accept or consider ideas, suggestions or materials. If you send us suggestions, ideas, notes, drawings, concepts or feedback related to the Services, all such submissions shall be and are hereby deemed to be confidential, and Supriyo Boral Trading Academy shall not be and hereby is not liable for any use or disclosure of any such submissions. Without limitation of the foregoing, Supriyo Boral Trading Academy shall be entitled to unrestricted use of any suggestions, ideas, notes, drawings, concepts or feedback related to the Services for any purpose whatsoever, commercial or otherwise, without compensation to you or to any other person or entity.

These Terms and Conditions only relate to your use of the Services and do not relate to any other website or Internet-based services, including websites to which the Services may link (“Third-Party Sites”). We are not responsible or liable for any content, advertising, products, services, information or other materials on or available on Third-Party Sites. We also are not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, advertising, products, services, information or other materials on Third-Party Sites. We have no control over Third-Party Sites, their content or their terms of use, and therefore we encourage you to review such content and terms of use prior to utilizing any Third-Party Sites or submitting any personal information to them.

Supriyo Boral Trading Academy may provide experiences on social media platforms such as Youtube®, Facebook® or Instagram® that enable online sharing and collaboration among users who have registered to use them. User agrees not to post any such defamatory statements on such social media platforms. Any content you post is subject to the terms of use and privacy policies of those platforms and related services. Supriyo Boral Trading Academy has no control over such social media platforms or related services.

1. Termination.

The payment contract automatically ends when the User has completed the access of the webinar he has paid for and the Supriyo Boral Trading Academy reserves the right, in its sole discretion, to refuse, suspend, restrict or terminate your access to the Services, or any portion thereof, without notice and for any reason or no reason. Furthermore, Supriyo Boral Trading Academy has the right, but not the obligation, to suspend or terminate your access to all or part of the Services:

1. At the request of law enforcement or other government agencies;
2. If the Services are discontinued or materially modified;
3. Upon the occurrence of any technical or security issues or problems; or
4. If you engage in any conduct that Supriyo Boral Trading Academy believes, in its sole discretion, violates any provision of these Terms and Conditions or other incorporated agreements or guidelines or violates the rights of Supriyo Boral Trading Academy or third parties.
5. If we notice that you are directly or indirectly involved in or running the same business as we have (such as training institute, selling of stock market-related courses) then we have the right to terminate the services we offer without any notice.

In addition, Supriyo Boral Trading Academy may terminate individual user accounts due to inactivity. You agree that upon termination Supriyo Boral Trading Academy may delete all information related to you. You agree that none of the Released Entities will be liable to you or any third party for any termination or suspension of your account or for blocking your access to the Services.

1. Miscellaneous.

If any provision of these Terms and Conditions is found to be invalid, unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and Conditions and shall not affect the validity and enforceability of any remaining provisions.

These Terms and Conditions, which includes the Privacy Policy and Disclaimer, represent the entire agreement between you and Supriyo Boral Trading Academy relating to your right to access and use the Services, and supersedes any and all prior or written or oral agreements between you and Supriyo Boral Trading Academy with respect to such subject matter.

No waiver by Supriyo Boral Trading Academy of any breach or default by you under these Terms and Conditions shall be deemed to be a waiver of any preceding or subsequent breach or default. Any waiver by Supriyo Boral Trading Academy must be in writing signed by Supriyo Boral Trading Academy.

There will be no refund issued after the complete full payment of the course fees.

Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or these Terms and Conditions must be filed within six months after such claim or cause of action arose or will be forever barred.

No provision of these Terms and Conditions provides any person or entity not a party to these Terms and Conditions with any remedy, claim, liability, reimbursement or cause of action, or creates any other third party beneficiary rights, except as expressly set forth in these Terms and Conditions.

DISCLAIMER

The services, including the website and the content, are provided “as is” and without warranties of any kind, either express or implied. To the fullest extent permissible pursuant to applicable law, Supriyo Boral Trading Academy and its affiliated companies, licensors, suppliers, partners and sponsors, and each of their respective directors, officers, agents, contractors, advisors, employees, licensors and suppliers (“released entities”) disclaim all warranties, express or implied, including, without limitation, implied warranties of title, non-infringement, accuracy, merchantability and fitness for a particular purpose, and any warranties that may arise from a course of dealing, course of performance or usage of trade.

3. That defects or errors will be corrected; or
4. That the services are free of viruses or other potentially harmful components.

All or a portion of the Services may be temporarily unavailable from time to time for maintenance or other reasons. Supriyo Boral Trading Academy assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, any communications. Warranty disclaimer: limitation of liability.

To the fullest extent permitted by applicable law, Supriyo Boral Trading Academy makes no representations or warranties whatsoever, express or implied, with respect to the services, including without limitation any (i) warranty of merchantability; (ii) warranty of fitness for a particular purpose; or (c) warranty against infringement of intellectual property rights of a third party, whether express or implied by law, course of dealing, course of performance, usage of trade or otherwise. In no event shall any released entity be liable to you or to any third party for any loss of use, revenue or profit or loss of data or diminution in value, or for any consequential, incidental, indirect, exemplary, special or punitive damages whether arising out of breach of contract, tort (including negligence) or otherwise, regardless of whether such damage was foreseeable and whether or not such party has been advised of the possibility of such damages, and notwithstanding the failure of any agreed or other remedy of its essential purpose. Our liability in the case of gross negligence is limited to foreseeable damages typical for this type of contract.  The total liability of Supriyo Boral Trading Academy towards You in respect of all other losses arising under or in connection with these terms and conditions, tort (including negligence), breach of statutory duty, or otherwise, will not exceed an amount equal to the course fees payable by the User under the agreement in relation to the Services giving rise to the liability.

If the whole or any part of any provision of these terms of use, privacy policy, disclaimer or refund policy is or becomes invalid, void or unenforceable for any reason the same shall to the extent required be severed from these terms of use and rendered ineffective so far as is possible without modifying the remaining provisions of these terms of use and shall in no way affect the validity or enforceability of any other provisions.

Release

To the maximum extent permitted by applicable law, you hereby release and waive all claims against the Supriyo Boral Trading Academy from any and all liability for claims, demands, damages (actual and consequential), costs and expenses (including litigation costs and attorneys’ fees) of every kind and nature, arising out of or in any way connected with the use of the Services, including without limitation any dispute between users of the Services or between a user of the Services and any third party.

To the extent that you do have any claims against Supriyo Boral Trading Academy, you agree that:

The foregoing indemnification obligation will survive these Terms and Conditions and your use of the Services. Supriyo Boral Trading Academy shall provide notice to you of any such claim, action or demand and Supriyo Boral Trading Academy may, in Supriyo Boral Trading Academy sole discretion, assist you, at your reasonable expense, in the defense or settlement of such claim, action or demand. You agree to cooperate fully with us in the defense of any claim that is the subject of your obligations hereunder.

While making payments online for the course, Supriyo Boral Trading Academy may save your credit card or debit card details. Supriyo Boral Trading Academy assures and agrees not to share such data with any third party. The price payable for the webinar or course shall be the list price of Supriyo Boral Trading Academy at the Confirmation Date unless otherwise stated. That Supriyo Boral Trading Academy reserves the right to increase the price from that advertised on the Academy’s website or in other forms at their discretion and for any reason prior to the course commencement. If the User has made payment of the previously advertised price then the same shall be informed about such an increase in the prices and the User will be at liberty to choose whether or not the User wishes to continue with the same program and Supriyo Boral Trading Academy shall be at its complete discretion with regard to refunds in such scenario. All prices are exclusive/inclusive of applicable Taxes, and this will be charged at the appropriate rate. Supriyo Boral Trading Academy does not provide any installment payment of the webinar or online course to the User. All the payments are to be paid at once.

Users can always choose not to supply personal identification information, except that it may prevent them from engaging in certain site-related activities.

The Supriyo Boral Trading Academy will never ask you and you must never provide sensitive personal data or information to the Booming Bulls or to any person/entity representing the Supriyo Boral Trading Academy. Any disclosure of sensitive personal data or information shall be at your sole risk and without any liability to the Supriyo Boral Trading Academy (including its directors, key managerial personnel, officers and employees). You understand, acknowledge and agree that the Supriyo Boral Trading Academy or any other person acting on behalf of the Supriyo Boral Trading Academy shall not in any manner be responsible for the authenticity of the personal information or sensitive personal data or information provided by you to the Supriyo Boral Trading Academy.

In the event that the Parties are unable to amicably resolve a dispute by mediation, said dispute will be referred to arbitration by a sole arbitrator to be appointed by the Supriyo Boral Trading Academy, and the award passed by such sole arbitrator will be valid and binding on both Parties. The Parties shall bear their own costs for the proceedings, although the sole arbitrator may, in his/her sole discretion, direct either Party to bear the entire cost of the proceedings. The arbitration shall be conducted in English, and the seat of Arbitration shall be in Kolkata, India.

The Parties expressly agree that the Terms, Policy and any other agreements entered into between the Parties are governed by the laws, rules, and regulations of India, and that the Courts at Kolkata, India, shall have exclusive jurisdiction over any disputes arising between the Parties.
